SUBSCRIPTION SERVICES AGREEMENT
Made on 15 April 2024 between BLUEPEAK ANALYTICS LIMITED, a company
registered in England and Wales ("Provider"), and MERIDIAN CIVIC GROUP INC.
("Subscriber").
1. SUBSCRIPTION
1.1 Provider grants Subscriber a non-exclusive right to access the Bluepeak
analytics platform for the number of authorised users set out in the Order
Form.
2. FEES
2.1 The annual subscription fee is GBP 84,000, payable annually in advance.
2.2 Provider may increase the annual subscription fee at each renewal by no
more than the greater of five percent (5%) and the increase in the Consumer
Prices Index over the preceding twelve months.

4. TERM
4.1 This Agreement takes effect on 15 April 2024 and continues until
14 April 2027 (the "Initial Subscription Term").
4.2 This Agreement will renew automatically for further periods of one (1)
year unless either party serves written notice of termination not less than
thirty (30) days before the expiry of the then-current term.
5. DATA PROTECTION
5.1 Each party shall comply with applicable data protection legislation.
