FACILITIES MANAGEMENT AGREEMENT
Dated 2 September 2024
Between CASTLEFORD ESTATES LLC ("Contractor") and MERIDIAN CIVIC GROUP INC.
("Client").
1. SERVICES
1.1 Contractor shall provide the facilities management services described in
Appendix A at the Client premises listed therein.
2. CHARGES
2.1 The annual charge is USD 310,000, invoiced monthly in arrears.

7. DURATION AND RENEWAL
7.1 This Agreement commences on 2 September 2024 and continues until
1 September 2027 unless terminated earlier in accordance with this clause 7.
7.2 Following the expiry of the initial period this Agreement shall continue
until terminated by either party giving reasonable notice to the other prior
to the renewal date, such period to be determined in light of the
then-prevailing circumstances, the degree of operational disruption likely to
be occasioned, and the practice previously adopted between the parties.
7.3 Nothing in clause 7.2 shall prejudice any accrued right of either party.
