AMENDMENT NO. 1
TO THE MASTER SERVICES AGREEMENT DATED 1 DECEMBER 2023
This Amendment No. 1 (this "Amendment") is made on 14 March 2025 between
NORTHWIND LOGISTICS LLC ("Supplier") and MERIDIAN CIVIC GROUP INC.
("Customer").
RECITALS
A. The parties entered into a Master Services Agreement dated 1 December
2023 (the "Original Agreement").
B. The parties wish to amend the Original Agreement as set out below.
1. AMENDMENTS
1.1 Clause 3.2 of the Original Agreement is deleted in its entirety and
replaced with the following:
"3.2 Upon expiry of the Initial Term this Agreement shall automatically
renew for successive periods of twelve (12) months (each a 'Renewal
Term') unless either party gives written notice of non-renewal not less
than sixty (60) days prior to the end of the then-current term."
1.2 Clause 2.2 of the Original Agreement is amended by replacing "four
percent (4%)" with "three percent (3%)".

2. EFFECT
2.1 Except as expressly amended by this Amendment, the Original Agreement
remains in full force and effect.
2.2 This Amendment forms part of the Original Agreement.
