MASTER SERVICES AGREEMENT
This Master Services Agreement (the "Agreement") is entered into as of
1 December 2023 (the "Effective Date") by and between:
NORTHWIND LOGISTICS LLC, a Delaware limited liability company having its
principal place of business at 400 Harbour Way, Wilmington, Delaware
("Supplier"); and
MERIDIAN CIVIC GROUP INC., a Delaware corporation having its principal
place of business at 118 Fulton Street, Boston, Massachusetts
("Customer").
1. SERVICES
1.1 Supplier shall provide the freight coordination and warehousing services
described in Schedule 1 (the "Services").
1.2 Supplier shall perform the Services in accordance with the service levels
set out in Schedule 2.
2. CHARGES
2.1 Customer shall pay the charges set out in Schedule 1.
2.2 Supplier may increase the charges once in any twelve (12) month period by
no more than four percent (4%) of the then-current charges.

3. TERM AND RENEWAL
3.1 This Agreement commences on the Effective Date and continues for an
initial term of thirty-six (36) months, expiring on 30 November 2026 (the
"Initial Term").
3.2 Upon expiry of the Initial Term this Agreement shall automatically renew
for successive periods of twelve (12) months (each a "Renewal Term") unless
either party gives written notice of non-renewal not less than ninety (90)
days prior to the end of the then-current term.
3.3 Notice under clause 3.2 shall be given in accordance with clause 11.
4. MINIMUM COMMITMENT
4.1 Customer commits to a minimum spend of USD 1,200,000 over the Initial
Term.
5. INSURANCE
5.1 Supplier shall maintain commercial general liability insurance of not
less than USD 5,000,000 per occurrence and shall provide Customer with a
certificate of insurance annually.

11. NOTICES
11.1 Any notice under this Agreement shall be in writing and delivered by
hand, by recorded delivery, or by email to the address set out below.

12. GOVERNING LAW
12.1 This Agreement is governed by the laws of the State of Delaware.
IN WITNESS WHEREOF the parties have executed this Agreement as of the
Effective Date.
