PROFESSIONAL SERVICES AGREEMENT
Dated 8 October 2024
Between WESTMARCH ADVISORY PARTNERS LLC ("Consultant") and MERIDIAN CIVIC
GROUP INC. ("Client").
1. SERVICES
1.1 Consultant shall provide the advisory services described in Appendix A.
2. FEES
2.1 Fees are charged at the day rates set out in Appendix A.

5. TERM AND RENEWAL
5.1 This Agreement commences on 8 October 2024 and continues until
7 October 2027.
5.2 Thereafter this Agreement shall renew automatically for successive
periods of twelve (12) months unless either party gives written notice of
non-renewal not less than sixty (90) days prior to the end of the
then-current term.
5.3 Notice shall be given in accordance with clause 9.
